Department of Defense Agencies: If our services are acquired by or on behalf of any agency within the Department of Defense, their use is subject to the terms of these Terms of Use in accordance with the Defense Federal Acquisition Regulation (“DFARS”) 227.7202‑3. Additionally, DFARS 252.227‑7015 applies to technical data acquired by the DOD.

This clause regarding U.S. Government Rights supersedes any other FAR, DFARS, or other clauses that address government rights in computer software or technical data under these Terms of Use.

14. CANADIAN GOVERNMENT RIGHTS

Classification as “Commercial Items”: Our services are considered “commercial items” as commonly understood within the context of Canadian government procurement.
Compliance with Canadian Procurement Regulations: If our services are acquired by or on behalf of any Canadian government agency, their use is subject to these Terms of Use, which are in compliance with Canadian government procurement policies and regulations.
Adherence to Terms of Use: Regardless of any public procurement requirements or policies, the use of our services by Canadian government entities is subject to all stipulations set forth in these Terms of Use, including but not limited to, limitations of liability, indemnification, and intellectual property rights.

Binding Arbitration

Arbitration is limited to the dispute between the parties individually, and no arbitration will be joined with any other proceeding. There is no right for disputes to be arbitrated on a class-action basis or in a representative capacity.

Exceptions

Disputes concerning the enforcement or validity of a party’s intellectual property rights, allegations of theft, piracy, invasion of privacy, unauthorized use, and claims for injunctive relief are not subject to arbitration and may be brought in court.

Time Limit

Any dispute related to the Site must be commenced within one (1) year after the cause of action arises. If a portion of this provision is found illegal or unenforceable, such disputes will be decided by a court of competent jurisdiction.
